The following terms and conditions (the “Terms of Use”) constitute a binding agreement between you and Outdoor Voyage with respect to your use of the Site or use of the Services.

By visiting any area on the Site, creating an account, making a purchase via the Site, or by accessing or using the Services in any manner (whether automated or otherwise), you (a) acknowledge that you have read, understand, and agree to these Terms of Use and (b) affirm that you are at least 18 years of age (or have reached the age of majority in the jurisdiction where you reside). If you do not agree to be bound by these Terms of Use, please leave the www.outdoorvoyage.com site immediately and do not use the Services.

If you purchase products or services through the Site (including, but not limited to activity and event packages) Outdoor Voyage’s Terms of Sale will also apply.  If you book or schedule an activity or package with a third party provider through the Site, the third party provider may have terms and conditions that apply and govern your relationship with the third party provider. You are encouraged to review the applicable third party provider’s terms and conditions prior to purchasing or booking the third party provider’s services.

Changes & Modifications

Outdoor Voyage reserves the right to make changes to the Site, the Services, and these Terms of Use at any time without notice. Outdoor Voyage may also impose limits on certain features and services or restrict your access to parts or all of the Services without notice or liability. For account holders, reasonable efforts will be made to notify you electronically with the information you provide us. Your continued use of the Site or the Services following any changes means that you accept and agree to the changes.

License & Access

Subject to your compliance with these Terms of Use, Outdoor Voyage or its content providers grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and make personal and non-commercial use of the Services. This license does not include any resale or commercial use of any of the Services, or its contents; any derivative use of any of the Services or its contents; any downloading, copying, or other use of account information for the benefit of any third party; or any use of data mining, robots, or similar data gathering and extraction tools. All rights not expressly granted to you in these Terms of Use or any Outdoor Voyage service terms are reserved and retained by Outdoor Voyage or its licensors, suppliers, publishers, rightsholders, or other content providers. No Services, nor any part of any of the Services, may be reproduced, duplicated, copied, sold, resold, visited, or otherwise exploited for any commercial purpose without express written consent of Outdoor Voyage. You may not frame or utilize framing techniques to enclose any trademark, logo, or other proprietary information (including images, text, page layout, or form) of Outdoor Voyage without express written consent. You may not use any meta tags or any other “hidden text” utilizing Outdoor Voyage’s name or trademarks without the express written consent of Outdoor Voyage. You may not modify, download (other than page caching), reproduce, copy, or resell the Site, the Site’s content, or any portion or derivative thereof. You may not misuse the Services. You may not upload any invalid data, viruses, worms, or other malicious agents to or through the Site. You may not interfere or attempt to interfere with the proper working or security of the Site. You may not bypass or attempt to bypass any measures used by Outdoor Voyage to prevent or restrict access to any portion of the Site, the content, or any portion or derivative thereof. You may use the Services only as permitted by law. The licenses granted by Outdoor Voyage terminate if you do not comply with these Terms of Use or any Outdoor Voyage service terms.

You are responsible for obtaining and maintaining any equipment or ancillary services needed to connect to, access the Services, including, without limitation, modems, hardware, software, and long distance, or local telephone service. You are responsible for ensuring that such equipment or ancillary services are compatible with the Services.

You certify that you are legally permitted to use the Services, and take full responsibility for the selection and use of the Service. Where prohibited by law, the right to access the Services is revoked.

Booking with Outdoor Voyage

The Services allow Users to book activities, adventures, and experiences (each an “Experience”) with independent activity providers and other suppliers (each a “Provider”). When booking an Experience, the User will have to provide certain identifying information (such as telephone number or email address) that will be used by the Provider to confirm User’s identity prior to participation in the Experience. Once booked, Outdoor Voyage will provide the User with an e-mail confirmation. Other uses of User information may include, but are not limited to, responding to requests for certain services, customizing the content you see, and communicating with you about new services.

For security purposes, a Provider may require that User present a valid Photo ID, such as a passport or driver’s license. This is for identification purposes and helps the Company, and Providers, prevent fraud.

THE PROVIDERS REFERENCED THROUGH OUTDOOR VOYAGE ARE INDEPENDENT CONTRACTORS AND NOT AGENTS OR EMPLOYEES OF OUTDOOR VOYAGE. OUTDOOR VOYAGE IS NOT LIABLE FOR THE ACTS, ERRORS, OMISSIONS, REPRESENTATIONS, WARRANTIES, BREACHES OR NEGLIGENCE OF ANY SUCH SUPPLIERS OR FOR ANY PERSONAL INJURIES, DEATH, PROPERTY DAMAGE, OR OTHER DAMAGES OR EXPENSES RESULTING THEREFROM.

Use of Outdoor Voyage Services by Independent Service Providers

The Providers listed on Outdoor Voyage have agreed to be bound by these same Terms of Use, and Privacy Policy. However, Outdoor Voyage cannot warranty that any personal or other information shared with Service Providers will be treated properly, whether transmitted to the Provider by Outdoor Voyage or the user directly. Depending on the Experience requested and/or booked, certain Providers may request personal information from you such as traveler names, dates of birth, medical information, and passport/ID information. If at any point you have questions or concerns about information a Provider has requested from you, please contact us.

Additionally, Outdoor Voyage shall follow its Terms of Sale with respect only to funds paid through the Site. If at any point a Provider requests any payment to them directly you should contact us. Funds paid through the Site do not include gratuities for Providers. Any gratuities or “tips” for Providers should be paid directly to the Providers.

Electronic Communications

When you use any the Services, or send e-mails and other communications from your desktop or mobile device to Outdoor Voyage, you are communicating with us electronically. You consent to receive communications from us electronically, such as e-mails, texts, mobile push notices, or notices and messages on the Site or through other services. You agree that all agreements, notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing.

Intellectual Property

All content included in or made available through the Services, such as text, graphics, logos, button icons, images, audio clips, digital downloads, data compilations, and software is the property of Outdoor Voyage or its content suppliers and protected by United States and international copyright laws. The compilation of all content included in or made available through any of the Services is the exclusive property of Outdoor Voyage and protected by U.S. and international copyright laws.

Outdoor Voyage, or third parties from whom Outdoor Voyage has permission, own the trademarks or service marks that are used on the Site. All rights are reserved. These and other graphics, logos, service marks, trademarks and trade dress of Outdoor Voyage and its licensors may not be used without prior written consent of Outdoor Voyage or its licensor, as the case may be. Without limiting the foregoing, no Outdoor Voyage trademark or trade dress may be used in connection with any product or service that is not Outdoor Voyage’s, in any manner that is likely to cause confusion among customers, or in any manner that disparages or discredits Outdoor Voyage. All other trademarks not owned by Outdoor Voyage that appear in any of the Services are the property of their respective owners, who may or may not be affiliated with, connected to, or sponsored by Outdoor Voyage.

Age of Users

Outdoor Voyage’s products and services are marketed for and directed towards purchase by adults or with the consent of adults. Individuals under the age of 18 (“Minors”) are not permitted to use the Site without the supervision of a parent or legal guardian. Furthermore, Outdoor Voyage does not knowingly collect or solicit personal information from children under the age of 13 or knowingly allow such persons to register for an online account or to post personal information on the Site. Should we learn that someone under the age of 13 has provided any personal information to or on the Site, Outdoor Voyage will remove that information as soon as possible.

Your Account

Access to and use of certain Services may require you to register for an account. Some of the websites and resources Outdoor Voyage provides links to may contain opinions, advice, and information related to travel, and Outdoor Voyage expressly disclaims any responsibility or oversight for such content. The use of such resources is solely your responsibility, and Outdoor Voyage cannot verify the reliability or credentials of any source. Links to such websites or resources do not imply any endorsement by Outdoor Voyage of those websites or resources.

You may link to the Site, provided you do so in a way that is fair and legal and does not damage Outdoor Voyage’s reputation or take advantage of it, but you must not establish a link in such a way as to suggest any form of association, approval, or endorsement on our part where none exists. By participating in a Promotion, you will become subject to the terms and conditions of the Promotion, and any other terms, conditions, and restrictions presented in connection with the Promotion. The Company reserves the right to modify or terminate any Promotion at any time. We urge you to review the applicable rules before you participate in a Promotion.

Travel Considerations

When you use the Services to gather information or make bookings, please keep in mind that certain destinations and activities may involve greater risk than others, and that experiences and adventures are inherently unpredictable activities. Outdoor Voyage urges you to review travel prohibitions, warnings, announcements, and advisories issued by the United States Government, the European Union and other sources prior to booking travel. Information on conditions in various countries and the level of risk associated with travel to particular international destinations can be obtained from state.gov, tsa.gov, dot.gov, faa.gov, cdc.gov, treas.gov/ofac, customs.gov, gov.uk/foreign-travel-advice and ec.europa.eu, and other on- and off-line sources.

You are responsible for knowing and complying with all applicable passport, visa, and other travel documentation requirements, for obtaining proper and adequate insurance coverage, and for ensuring that you and any traveling companions including dependent minors take appropriate health, safety, and security precautions prior to, during, and after your travel. While Outdoor Voyage may, from time to time, provide information through the Services relevant to these topics or any other aspect of the travel experience, such information is for convenience only, and is not warranted to be current, complete, or accurate.

BY INFORMING THE USER OF OR FACILITATING ANY ARRANGEMENTS INVOLVING ANY PARTICULAR DESTINATIONS OR ACTIVITIES, OUTDOOR VOYAGE DOES NOT REPRESENT OR WARRANT THAT TRAVEL TO THOSE DESTINATIONS OR PARTICIPATION IN THOSE ACTIVITIES IS ADVISABLE OR WITHOUT RISK. INFORMING THE USER OF SPECIFIC RISKS ASSOCIATED WITH PARTICULAR DESTINATIONS OR ACTIVITIES, DOES NOT CONSTITUTE A REPRESENTATION OR WARRANTY THAT THERE ARE NOT OTHER RISKS ASSOCIATED WITH THOSE DESTINATIONS. THE USER ACKNOWLEDGES AND AGREES THAT OUTDOOR VOYAGE IS NOT LIABLE FOR ANY DAMAGES OR LOSSES (INCLUDING BUT NOT LIMITED TO ANY PROPERTY DAMAGE, THEFT, PERSONAL INJURY, ILLNESS, OR DEATH) THAT MAY OCCUR DURING OR RESULT FROM ANY TRAVEL OR ASSOCIATED ACTIVITIES. Termination and Suspension of Use

Outdoor Voyage may suspend or terminate your access to all or any part of the Site including any account thereon, without notice, in Outdoor Voyage’s sole discretion including without limitation violation of these Terms of Use. In particular, Outdoor Voyage may suspend or terminate your use if Outdoor Voyage believes that your access would violate any applicable law or would be harmful to the interests of, or potentially cause financial loss or legal liability to Outdoor Voyage or another user.

Dispute Resolution

Any dispute or claim relating in any way to your use of the Services, or to any products or services sold or distributed by Outdoor Voyage or through the Site will be resolved by binding arbitration, rather than in court. The arbitration shall be administered by the American Arbitration Association under its Commercial Arbitration Rules, and judgement on the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof. There is no judge or jury in arbitration, and court review of an arbitration award is limited. However, an arbitrator can award on an individual basis the same damages and relief as a court (including injunctive and declaratory relief or statutory damages), and must follow the terms of these Terms of Use as a court would.

Outdoor Voyage and you agree that any dispute resolution proceedings or litigation will be conducted only on an individual basis and not in a class, consolidated, or representative action. If for any reason a claim proceeds in court rather than in arbitration, Outdoor Voyage and you each waive any right to a jury trial. Outdoor Voyage and you also both agree that you or Outdoor Voyage may bring suit in court to enjoin infringement or other misuse of intellectual property rights, data security, or unauthorized access to the Site or the Services.

Inaccuracies

Outdoor Voyage endeavors to present the most recent, most accurate, and most reliable information on the Site at all times. However, there may be occasions when some of the information featured on the Site may contain incomplete data, typographical errors, or inaccuracies. Any errors are wholly unintentional and we apologize if erroneous information is reflected in merchandise price, item availability, or in any way affects your individual order. Governing Law & Jurisdiction

You and Outdoor Voyage agree to submit to the exclusive personal jurisdiction of the state courts located in Boulder County, Colorado and the federal courts located in Denver County, Colorado (and of the appropriate appellate courts therefrom) and irrevocably waive, to the fullest extent permitted by law, any objection to the laying of venue of any litigation in said courts.

No Agency, Partnership, Joint Venture, or Employment Relationship

No agency, partnership, joint venture, or employment is created as a result of this Agreement and the User does not have any authority of any kind to bind the Company in any respect whatsoever.

Waiver & Severability

Outdoor Voyage’s failure to exercise or enforce any right or provision of these Terms of Use will not constitute a waiver of such right or provision. If any term or provision of these Terms of Use shall be deemed invalid, void, or unenforceable in any applicable jurisdiction, that term or provision shall be deemed severable and shall not affect the validity and enforceability of any remaining term or provision or render unenforceable such term or provision in any other jurisdiction.

Entire Agreement

These Terms of Use constitute the entire agreement between you and Outdoor Voyage with respect to the subject matter of the Terms of Use. These Terms of Use do not create any third party beneficiary rights. Headings used in these Terms of Use are for reference only and shall not affect the meaning of any terms.
